December Meeting: IP Due Diligence

On December 9, 2014, CincyIP welcomes Kelly McDow (P&G) and Tom Ryan (International Paper) to discuss issues with IP Due Diligence.

Intellectual property is frequently a focal point in various business transactions including mergers & acquisitions, private equity deals, venture capital, securitization, and licensing. IP attorneys should be involved at an early point to assess the strengths and weaknesses of the IP under consideration and the ability to commercialize products that are supported by the IP. The IP attorney should also provide input on the deal documents to the extent the provisions of those documents affect IP ownership, transfer, and other considerations. IP attorneys, in turn, must learn to understand the mechanics and goals of the transaction so as to properly advise corporate counsel as to these matters. Kelly and Tom will examine and discuss the role of the IP professional in a business transaction, and will touch on the various issues to be examined when preparing and executing a deal. They will present issues related to intellectual property due diligence, chain of title, warranties/covenants related to IP, inter-party licensing issues, as well as touch on the different types of transactions and what role IP may play in those transactions.

November Meeting: Significant Recent Opinions from the Supreme Court and Federal Circuit

On November 11, 2014 CincyIP will have Timothy Hagan (a Partner at Dinsmore and Shohl LLP) to discuss recent opinions from the Supreme Court in IP law, including cases addressing patentable subject matter, claim indefiniteness, divided infringement, the standard for awarding attorney fees, the interplay between false advertising provisions of the Lanham Act and the Food, Drug, and Cosmetics Act, public performance under the Copyright Act, and the burden of proof in a declaratory judgment action. Hagan will also discuss Federal Circuit opinions dealing with claim construction, and handling the standards set forth by the Supreme Court.

Annual Judges’ Dinner 2014

Meet local judges and hear insights from the featured guest speaker, The Honorable Circuit Judge Jimmie V. Reyna, United States Court of Appeals for the Federal Circuit. Judge Reyna will discuss the current state of patent litigation and share his knowledge and experience as a judge having appellate jurisdiction over patent cases. Judge Reyna was appointed to the United States Court of Appeals for the Federal Circuit by President Barack Obama in 2011. Prior to his appointment, Judge Reyna was an international trade attorney and shareholder at Williams Mullen, where, from 1998 to 2011, he directed the firm’s Trade and Customs Practice Group and its Latin America Task Force, and served on its board of directors (2006-08, 2009-11).

The registration fee of $50 for members, law clerks, and academics and $75 for non-members includes a plated 3-course dinner and open bar with wine/beer/sodas. No CLE will be provided. Space is limited.
