IP Issues in Business Transactions

Description: Intellectual property is increasingly becoming a focal point in various business transactions including mergers & acquisitions, private equity deals, venture capital and securitization. The business lawyer must become IP savvy and involve IP specialists at an early point to ensure that IP is transferred properly, is free from liens and, in some cases, to determine the strength or enforceability of intellectual property. The IP specialist may also provide input on the deal documents to the extent the provisions of those documents affect IP ownership and transfer. IP specialists, in turn, must learn to understand the mechanics and goals of the transaction so as to properly advise corporate counsel as to these matters. This panel will examine and discuss the role of the IP professional in a business transaction, and will touch on the various issues to be examined when preparing and executing a deal. The panel will examine issues related to intellectual property due diligence, chain of title, warranties/covenants related to IP, inter-party licensing issues, as well as touch on the different types of transactions and what role IP may play in those transactions. Panelists will provide expertise covering patent, trademark, trade secret and copyright, and will include perspectives from both in-house and outside counsel.
